Exclusive negotiations are now underway between the media conglomerate and Netflix for a potential sale of its core studio and streaming operations, a move that could profoundly reshape the film and television landscape.
An Intense Bidding War
The leading streamer is reportedly vying with other major players like Paramount Skydance and the cable giant, the owner of Universal Studios and Sky, for ownership of the legendary Warner Bros studio, the premium HBO network, and the Max streaming platform.
According to reports Netflix has offered a substantial termination penalty of $5 billion if the acquisition not obtain necessary regulatory approval in the US.
The Offer Details
With Warner Bros Discovery shares sitting around approximately $24, its overall market cap stands at around $60 billion. It is believed Netflix's offer is between $28 and $30 per share, which suggests a potential deal worth in the neighborhood of $70 billion to $75 billion.
Analysts have warned that such a merger could raise significant competition issues, as it would combine two of the largest streaming services in the United States.
Assurances and Strategic Moves
In its proposal, Netflix has reportedly given assurances that the Warner Bros film studio, behind iconic series like Batman and Harry Potter, would continue to enjoy wide theatrical releases.
Before any potential deal closing, the company is expected to complete a pre-arranged separation of its cable television channels, such as TNT, TBS, and CNN.
An Entertainment Powerhouse
Should the deal proceed, the buyer would become the owner of HBO, the maker of critically acclaimed hits including Succession, The White Lotus, The Sopranos, and Game of Thrones, along with an extensive library of classic television.
The studio formally initiated its auction in October after attracting interest from several interested parties.
Voices of Caution
This prospective deal has sparked controversy. Esteemed director James Cameron, director of the Avatar and Terminator franchises, recently warned that a Netflix acquisition could lead to a "catastrophic loss of enduring worth" for the broader entertainment industry.
Initially, Paramount Skydance had been considered the early favorite. It had similarly proposed a $5 billion termination fee if approval issues.
Allegations of an Unfair Process
Recently, Paramount contended formally that its offer was the one most poised to gain regulatory clearance. Additionally, the company accused the seller of running an "biased sales process" that favored Netflix, labeling it "tainted" in official documents.
Representatives for Warner Bros, Netflix, Comcast, and Paramount refused to comment on the ongoing negotiations.
